These Terms constitute a legally binding agreement between you and Fastening Solutions, Inc. governing your access to and use of the Site. These Terms apply to all visitors, users, and others who access or use the Site. Your continued use of the Site following any updates to these Terms constitutes your acceptance of those changes.

Order Acceptance

All orders placed through our Site are subject to acceptance by FSI. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or concerns regarding the order itself. If we cancel an order after payment has been processed, we will issue a full refund.

Pricing and Availability

Prices for products listed on our Site are subject to change without notice. We reserve the right to modify or discontinue any product at any time. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of a product.

Payment

By placing an order you represent that you are authorized to use the payment method provided. All payments are processed securely. FSI does not store full credit card numbers on its servers.

Shipping and Delivery

Shipping timeframes provided on our Site are estimates only and are not guaranteed. FSI is not responsible for delays caused by carriers, customs, weather, or other circumstances beyond our control.

Returns and Refunds

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FSI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT, PRODUCTS, OR SERVICES AVAILABLE THROUGH THE SITE.

IN NO EVENT SHALL FSI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FSI IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless FSI and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Montgomery County, Alabama, and you hereby consent to personal jurisdiction and venue in those courts.

Before initiating any formal legal proceeding, you agree to first contact FSI at customerservice@fsiusa.com and make a good faith effort to resolve the dispute informally.

12. Termination

FSI reserves the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. It is your responsibility to review these Terms periodically. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

FSI's failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. A waiver of any provision will be effective only if in writing and signed by an authorized representative of FSI.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by FSI on the Site, constitute the entire agreement between you and FSI concerning your use of the Site and supersede all prior agreements, representations, and understandings.
